SpareKey Terms of Service

Effective October 25, 2026

These terms are an agreement between you and UpSkillPros LLC, a Missouri company that makes SpareKey ("SpareKey," "we," "us"). By creating an account or using SpareKey, you agree to them. Please also read our Privacy Policy, which explains how we handle your information.

1. What SpareKey is

SpareKey helps you organize information your people would need if they couldn't reach you, you were in the hospital, or you passed away, and lets you choose who can receive it and when.

SpareKey is not:

• An emergency service. In an emergency, call 911. Don't rely on SpareKey to get help quickly.
• Legal, financial, tax, or medical advice. SpareKey's checklists and guides are general information. For advice about a will, an estate, taxes, or health care, talk with a qualified professional.
• A will or legal document. Writing your wishes in SpareKey doesn't make them legally binding. Keep your actual will and other legal documents where your executor can find them.

2. Who can use SpareKey

You must be at least 18 to create an account. You're responsible for keeping your sign-in methods (your email, phone, and Google account) secure, and for activity on your account. Tell us right away at support@sparekey.me if you think someone else is using it.

3. How access works, and your choices

When you create a SpareKey, you're the owner. You choose your helpers, family members, and executor, which sections each person can receive, and how long each kind of request waits before opening.

Please understand how requests work: when someone you've invited asks to open your SpareKey, we notify you by text, email, or in the app, depending on your settings. If you don't stop the request before the wait you chose runs out, the sections you've allowed for that situation open to that person automatically. That's how SpareKey is able to help when you can't respond. It also means a request can open if you miss our notices, so:

• Invite only people you trust.
• Choose wait times that fit how often you check your phone and email, including when you travel.
• Keep your contact details current, and keep text or email alerts turned on.

Helpers you invite can view and edit your SpareKey on your behalf, and their changes are recorded. You can remove any person, change what they receive, or stop a request at any time.

4. Your content

You own what you put in SpareKey. You give us permission to store it, process it, and show it to the people you've chosen under your rules, only so we can provide SpareKey to you. We don't claim ownership and don't use your content for advertising.

You're responsible for what you enter, including information about other people. Only add what you have a right to share, and please be considerate of the people you list.

5. Acceptable use

Don't use SpareKey to break the law, harass anyone, impersonate someone, store anything you don't have the right to store, or try to access someone else's SpareKey without permission. Don't try to disrupt, overload, or break into SpareKey. We may suspend accounts that do these things.

6. Plans and payments

SpareKey has a free plan and a paid Premium plan. Paid plans renew automatically each year until you cancel. You can cancel at any time in your account settings, and your plan stays active until the end of the period you've paid for. Prices may change, but we'll tell you before a change affects you. Except where the law requires otherwise, payments aren't refundable for partial periods.

If you stop paying, your SpareKey isn't deleted. It moves to a free mode where the people you've chosen can still request access and receive what you've left them. Some features, like adding new videos, need a paid plan.

If SpareKey is a benefit from your employer: your employer pays for your plan while you're eligible. If you leave the employer's plan for any reason, you keep full Premium free for 60 days, and you can download everything you've entered at any time. After that, you can choose a personal plan or keep your SpareKey in free mode. Your employer never sees your content.

7. Text messages

If you choose to sign in by text or turn on text alerts, you agree to receive messages from SpareKey at the number you provide. These include sign-in codes, alerts about requests to open a SpareKey, check-in reminders, and notices that something has opened. Message frequency varies. Message and data rates may apply. Reply STOP to cancel, or HELP for help. Carriers aren't responsible for delayed or undelivered messages. Texts and emails depend on phone carriers and email providers we don't control, so we can't guarantee every message arrives on time. See our Privacy Policy for how we handle your number. We never share or sell your mobile number or your consent to receive texts.

8. Ending your account

You can download everything and delete your account at any time. We may suspend or end an account that breaks these terms, and we'll tell you why when we can. If we ever stop offering SpareKey, we'll give owners at least 90 days' notice and a way to download their content.

9. Disclaimers

We work hard to keep SpareKey reliable and secure, but it's provided "as is" and "as available." To the extent the law allows, we don't promise it will always be available, error-free, or that every notice will be delivered, and we disclaim implied warranties such as fitness for a particular purpose.

10. Limits on liability

To the extent the law allows, UpSkillPros LLC isn't liable for indirect, incidental, special, or consequential damages, or for losses that result from a request opening because a notice wasn't seen or delivered, from information you or your helpers entered, or from decisions people made using information in SpareKey. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim, or $100, whichever is greater.

11. Governing law

These terms are governed by the laws of the State of Missouri. Any dispute will be handled in the state or federal courts located in Greene County, Missouri, unless the law where you live requires otherwise.

12. Changes to these terms

If we make important changes, we'll tell you by email or in the app before they take effect. If you keep using SpareKey after that, the new terms apply.
